Entity options: WFOE, JV, or RO?
Foreign investors in Changzhou typically choose among three main entity types: a Wholly Foreign-Owned Enterprise (WFOE), a Joint Venture (JV), or a Representative Office (RO). Each has distinct advantages and limitations.
WFOE is the most common choice for foreign founders. It is a limited liability company wholly owned by foreign investors, allowing full control over operations, profit repatriation, and hiring. WFOEs can engage in a wide range of business activities, including manufacturing, trading, consulting, and services, subject to a registered business scope. The registered capital requirement depends on the industry and scope; for most service or trading WFOEs, a modest amount is sufficient, while manufacturing may require more.
JV involves partnering with a Chinese entity. This can be useful when local knowledge, licenses, or distribution networks are critical, but it requires careful negotiation of governance, profit sharing, and exit mechanisms. JVs are less common for wholly foreign-owned projects but remain relevant in restricted sectors.
RO is a lightweight option for market research and liaison, but it cannot engage in profit-making activities, sign contracts, or hire local staff directly (except through a staffing agency). It suits companies testing the market before committing to a WFOE.
- WFOE: Full control, can generate revenue, most flexible.
- JV: Shared risk and local expertise, but complex governance.
- RO: Low-cost presence, but no direct business activities.
